Constitution of the e/opt Consortium

e/opt will become an unincorporated association governed by its members. This Constitution is the Consortium’s living white paper and smart contract — the rules we agree to live by, not a crypto token. It sets out the name, aims, membership, consortiums, conventions, governance, and financial rules of the Consortium.

Article 1

Name

The name of the organization shall be the e/opt Consortium (hereinafter referred to as "the Consortium").

Article 2

Aims and Objectives

The purpose of the Consortium is to bring together open, tough-solving engineers and children — all are welcome — to set about the world's toughest challenges with eternal and effective optimism, through gathering, open discourse, education, media, and collaborative work.

The main objectives are:

    Educational Exploration

    To enhance understanding of complex worldviews, government policies, and global frameworks via targeted educational techniques, including ed-tech and health practice where the Consortium so directs.

    Open Discourse

    To host public debate, public speaking, live broadcast, and hybrid media channels where argument can stay open, evidence can be tested, and disagreement can still build forward.

  • 03

    Technological Insights

    To evaluate and track emerging technologies and their practical implementation across industries.

  • 04

    Creative Expression

    To nurture collective agency through creative writing, communicative skill, and hybrid forms that bring people and animated presence into shared conversation.

  • 05

    Practical Discipline

    To practice optimism as an active habit and real-world discipline rather than a passive outlook.

Article 3

Membership

Membership is open to any individual who aligns with the e/opt Manifesto and its three foundational commitments: Effective, Eternal, and Optimism, and who agrees to this Constitution. All are welcome — open, tough-solving engineers and children among them.

Join, pay, or leap. By doing so you agree to this Constitution — including anyone who records membership intent; anyone who donates, subscribes, or pays a consortium paywall; and anyone who leaps by email or similar channels.

Agreement to this Constitution is not the same as membership with voting rights. Membership intent is recorded on the Join path. Paying or leaping alone does not confer membership or voting rights unless the individual has also joined under this Constitution or the Managing Committee has expressly admitted them as a member.

The Managing Committee reserves the right to refuse or terminate membership if an individual's actions directly contradict the constructive, forward-facing mission of the group.

Article 4

Consortiums and Programmes

The Consortium operates a consortium and convention framework. Consortiums and conventions are places of practice under this Constitution; they are not separate legal entities unless the Managing Committee later so establishes with proper formality.

The public register of consortiums is maintained on the Consortium website (https://eopt.uk/consortiums/). The public register of conventions is maintained at https://eopt.uk/conventions/. Adding, renaming, or retiring a consortium or convention on those registers does not require a formal amendment to this Constitution, provided the change does not alter membership, governance, or finance rules set out herein.

Operational surfaces — including forums, live broadcasts, hybrid casts, paywalls, shops, and related digital tools — may be built, paused, or retired by the Managing Committee in service of the aims. Detail of those surfaces belongs on the website and consortium pages, not in this Constitution.

As at the revision date of this Constitution, the illustrative consortium register includes The Farmers Arms, Spacetime, QuantumSparks, and Restore. The illustrative convention register includes The Fork and Optimism.

Article 5

The Managing Committee

The day-to-day operations of the Consortium shall be managed by a Committee composed of at least three specific roles:

    The Chair

    Responsible for leading the strategic vision of workshops, consortiums, and programmes, and for steering general group meetings.

  • 02

    The Secretary

    Responsible for managing membership lists, digital communications, and keeping minutes of administrative choices.

  • 03

    The Treasurer

    Responsible for overseeing all incoming funding (including donations, subscriptions, and paywall receipts), monitoring financial health, and ensuring compliance with applicable payment and accounting rules.

Article 6

Finance and Fundraising

All funds raised through the website (https://eopt.uk), consortium sites under Consortium direction, or physical events — including donations, subscriptions, membership fees, and paywall access — must be used exclusively to further the stated aims of the Consortium (such as event spaces, workshop materials, broadcast and digital tools, or educational programmes).

A specialized Community/Clubs Bank Account shall be opened in the name of the Consortium.

All financial transactions, withdrawals, and platform choices must require the sign-off or dual authorization of at least two designated Committee members.

The Consortium shall remain a non-profit unincorporated body. No portion of the collected funds shall be distributed as profit to any individual member.

Payment processors and checkout tools may change over time; this Constitution does not name a specific vendor.

Article 7

Meetings and Annual General Meetings (AGM)

General Meetings: The Consortium will hold regular business meetings, workshops, and discourse sessions for its members — in person, online, or hybrid as the Committee determines.

Annual General Meeting (AGM): An AGM will be held once every 12 months. At least 14 days' notice must be given to members. The AGM will be used to review finances, elect or re-confirm Committee members, and adapt the group's curriculum and consortium direction.

Article 8

Dissolution

If the Committee decides it is necessary to close or dissolve the Consortium, a Special General Meeting must be called.

Any remaining funds or assets held in the Consortium's bank account after all debts are settled must not be given to members. Instead, they must be transferred to another non-profit organization or educational cause with similar forward-looking principles.
